Clubs and societies must re-register under the new 2022 Incorporated Societies Act
You’re running out of time
The process usually takes at least 2 months. If you haven’t started, you need to act now:
- Constitution review and mandatory amendments (1–2 weeks)
- Member consultation period (2–4 weeks)
- AGM or Special General Meeting notice and approval process (2–4 weeks)
- If members don’t approve the changes, the process must start again
Delaying now may mean missing the deadline.
What happens if you miss the deadline?
If your society is not re-registered by 5 April 2026:
- Bank accounts may be frozen
- Automatically de-registered as a society
- Insurance – unable to make claims or obtain new cover
- Unable to obtain loans and potentially in breach of existing loan requirements
- Cannot hold property or enter contracts
- Must register as a new society – expensive and cumbersome process
- Must reapply for a new IRD number and tax-exempt status
