Jo Kelly
BCom, CS (Affiliate), MInstD, MICDA
CEO & Founder
Jo is a trusted Company Secretary with expertise across a range of industries and most sectors including private and publicly listed companies, government organisations, charities, not-for-profits and several of New Zealand’s largest major sporting events.
Jo is a board member of University and Tertiary Sport New Zealand (UTSNZ).
She was previously the CEO of the Kelliher Charitable Trust where she was responsible for supporting New Zealand communities through charitable grants and tertiary economics scholarships.
With a background in accounting and a variety of executive leadership roles, Jo brings a strong focus on strategy and stakeholder relations coupled with a modern, pragmatic approach to governance.
Her broad professional and NFP background enables her to understand the unique challenges faced by different organisational structures.

Dauniika Maclean
ACG, CMInstD
Partner and Executive Director
Dauniika Maclean founded Board Administration Services, established in 2018 following a successful career as a Board Secretary and Company Secretary, with a particular focus on the health and insurance sectors.
She is a Chartered Member of the Institute of Directors and a Chartered Associate of the Chartered Governance Institute NZ, bringing deep expertise in governance best practice and board operations.
Board Administration Services merged with IGS in October 2025.
A passionate advocate for modern governance, Dauniika is an educational speaker with the Chartered Governance Institute NZ and BoardPro, where she shares practical insights on minutes taking, board effectiveness, AI in governance, and digital transformation. In recognition of her contributions to the field, she was named a recipient of the Diligent Modern Governance 100 award in 2020.
Dauniika also serves as a board member of Riverhead School, continuing her commitment to education and community leadership.
Dauniika is based in Auckland.

Kylie Mooney

Governance Consultant
Kylie is a skilled senior executive with experience on both corporate and not-for-profit boards.
She is currently on the Board for The Turner Centre and the Kerikeri Retirement Village.
She provides consulting services in business process improvement, project management change management and strategy development.
Kylie’s previous roles were CEO and COO for the law firm Meredith Connell where she was responsible for IT, risk management, finance, HR, marketing and all operational functions.
Kylie is based in Northland.

Lauren Bruce

Governance Support Specialist
Lauren is a Chartered Accountant, a Chartered Member of the Institute of Directors, and holds a Bachelor of Commerce (Accounting & Finance) and Master of Business (Finance, Distinction) from the University of Otago.
Lauren is also the Executive Director of Heartland Investments Limited (an investment syndicate business) and is a Trustee of the Midlands Sexual Assault Support Services Trust.
With experience in providing board secretarial services and as a Director, Lauren understands the importance of ensuring Boards and Committees function efficiently and effectively.
Lauren is based in Hamilton.

Rachel Nottingham

Governance Consultant
Rachel is a Chartered Member of the Institute of Directors and brings a wealth of experience as an advisor, board consultant and director, offering tailored and practical advice on governance matters including privacy, information management, strategy and risk management.
Her approach is shaped by her background as a senior executive, legal counsel and company secretary; guiding organisations primarily across the education, infrastructure and property sectors.
Rachel is a board member of CCS Disability Action Auckland, a director of Reterniti and chairs the advisory board of Reach Aotearoa.
Rachel is based in Auckland.

Melissa Perkin

Governance Consultant
Melissa is a qualified lawyer and holds a current practising certificate. She has a background, primarily in the legal sector having worked in the courts and in senior executive roles with the Auckland District Law Society and New Zealand Bar Association. In addition,
Melissa is an Independent Reviewer of ACC decisions and is the Redress Panel Administrator of the Dilworth Redress Programme.
In her roles, Melissa has gained a wealth of varied experience in the legal sector, governance, organisational leadership and in navigating complex and sensitive disputes resolutions.
Melissa has particularly strong skills in risk management, stakeholder relationship management and policy generation.
Melissa is based in Auckland.

Jenni Carden

Jenni is an experienced governance manager with a proven record in diverse roles and industries.
Jenni is exceptionally versatile and adaptable, has outstanding interpersonal and communication and strong commercial and political acumen. She excels in change management and governance transformation roles.
Detail-oriented, organised, self-driven, and dedicated – Jenni thrives in challenging roles, whether independently or as a leader. Brings enthusiasm, humour, and a customer-focused attitude to every task.
Her specialties include governance, general management, programme management, project management.
Jenni is based in Tauranga.

Emily Rust

Organisational Psychologist
Emily is a Registered Organisational Psychologist (NZPS), with a Master’s of Science (MSc) and Post Graduate Diploma in Applied Psychology from University of Auckland.
Emily supports executive leadership teams and Boards with human-centred business and system design, strategic advisory and performance coaching – creating the scaffolding necessary for true organisational agility and commercial success.
She specialises in leadership assessment and development, enterprise leadership capability building (as a co-founder of Stones), individual performance coaching, team development, organisational wellbeing strategy and psycho-social risk management.
Emily firmly believes that nothing sits idle for long, and there is always room for learning and growth – “the best work you’ll do in life is work on yourself and the environments you occupy”.
Emily is based in Auckland.

Naomi McRae

Governance Support Specialist
Naomi brings over 20 years of experience across corporate, governance, human resources, and for-purpose roles.
She has a strong foundation in HR and leadership in community engagement, including leading the charitable arm of a large corporation for almost 10 years.
Her governance experience includes working alongside boards to support strategy, capture decisions, and translate them into actionable operational plans.
Naomi currently serves on the board of Leukaemia & Blood Cancer New Zealand, a cause she feels very deeply about, and has governance experience in the education sector, including serving on her local primary school board and a community education trust.
Naomi is passionate about education, literacy, and purpose-led initiatives, and is known for her ability to connect people, purpose, and impact.

Rochelle MacArthur

Rochelle is passionate about supporting people and not-for-profit organisations to achieve their full potential.
She holds a Bachelor of Economics & Arts and a Master of Social Work (Applied), and is also an Associate Member of the Institute of Directors.
Rochelle brings a unique perspective and a diverse skill set to her professional endeavours. As an experienced Advisor at PwC, Rochelle specialises in providing governance support to Partners & staff and not-for-profit organisations.
Her knowledge of not-for-profit governance responsibilities, and operations, as well as relevant legislation and processes, underpins her work. She is committed to driving positive change and ensuring that not-for-profit boards operate at their highest potential.
Rochelle brings her highly effective communication skills and broad experience to ensure those she works with receive proactive, timely and relevant advice.

Catherine Foster

Governance Support Specialist
Catherine is an accomplished governance professional with deep experience supporting Boards to operate effectively and make well-informed decisions. She has worked across a wide range of organisations, from not-for-profits to large public entities, helping them strengthen governance performance and build frameworks that are fit for purpose.
Before joining Independent Governance Services, Catherine led the Secretariat for Health New Zealand through the country’s largest ever health sector reform — successfully bringing together 21 District Health Boards under one national Board overseeing a $23 billion organisation.
She is known for her practical, solutions-focused approach to governance transformation, from optimising Board processes and reporting to implementing best-practice operating models and digital platforms such as Diligent Boardbooks.
Catherine brings strong technical and relationship skills, supporting Chairs, executives, and Board members to improve alignment, accountability, and impact.
