The Incorporated Societies deadline has passed: What NZSAE members need to know now

1. What Has Changed

  • The reregistration deadline under the Incorporated Societies Act 2022 passed on 5 April 2026 – if your organisation is an incorporated society, this affects you directly, whether you made the deadline or not.
  • Societies that successfully reregistered now need to focus on ongoing compliance obligations under the new Act.
  • Societies that did not reregister have been automatically removed from the Incorporated Societies Register as of 6 April 2026.

2. If Your Society Reregistered

  • Well done on meeting the deadline – but reregistration was the starting point, not the finish line.
  • The 2022 Act introduces ongoing obligations: annual return filings, tiered financial reporting, maintaining an accurate officer register, and updated meeting requirements.
  • IGS can help you stay on top of these obligations through governance advisory and our Compliance Inc platform.
  • Now is the time to review your officer register, understand your financial reporting tier, and ensure your committee knows its obligations.

3. If Your Society Missed the Deadline

  • Missing the deadline is serious, but not the end of the road – a restoration pathway exists under the 2022 Act.
  • Removed societies no longer have a separate legal identity, cannot enter contracts, may have bank accounts frozen, and members could face personal liability.
  • The restoration process involves preparing a compliant constitution, lodging an application (fee: $177.78 + GST), and a 20 working day public notice period.

4. How IGS Can Help

  • If your society missed the deadline, IGS can manage the entire restoration process – from drafting a compliant constitution to lodging the application, with fixed-fee pricing.
  • If your society is registered, IGS offers governance advisory and our Compliance Inc platform – a single hub for all your obligations with built-in reminders and templates.
  • IGS offers a free initial conversation to assess where your society stands – contact us at igs.nz/contact.

5. Next Steps

  • Already reregistered? Get your ongoing compliance sorted – review your officer register and financial reporting obligations.
  • Missed the deadline? Don’t wait – the sooner you start the restoration process, the sooner your society can resume normal operations.
  • Need help? Contact IGS for a free initial conversation to assess your situation.
